By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Eligibility & Account Registration

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
• You must provide accurate, complete account information and keep it updated.
• You are responsible for all activity under your account and for maintaining the confidentiality of credentials. Notify us immediately of unauthorized use.

2) Description of Service

TaskTidy provides AI-powered productivity and automation features, including task and project management, workflow orchestration, content generation, and integrations with third‑party tools. Features may change from time to time.

3) Your Content & Data

• Ownership: You retain ownership of files, prompts, inputs, data, and other content you submit to the Service ("Customer Content").
• License to TaskTidy: You grant us a worldwide, non‑exclusive license to host, process, transmit, display, and create ephemeral technical copies of Customer Content solely to provide, maintain, secure, and improve the Service.
• AI Outputs: The Service may generate content ("Outputs"). Subject to third‑party rights and applicable law, we assign to you our rights in Outputs for your lawful use. You are responsible for reviewing Outputs for accuracy and appropriateness.
• Prohibited Data: Do not submit content that is illegal, infringes rights of others, contains malware, or includes special categories of personal data unless you have a lawful basis and appropriate safeguards.

4) Acceptable Use

You agree not to, and not to allow others to:

• Violate laws, regulations, or third‑party rights.
• Use the Service to develop or train competing models or datasets without our written consent.
• Attempt to extract underlying models, source code, or non‑public data (e.g., via scraping, model inversion, or reverse engineering).
• Mislead others by representing Outputs as human‑generated where disclosure is legally required or materially relevant.
• Interfere with security, integrity, or availability of the Service or exceed assigned rate limits.
• Send spam or abuse communications features.

5) Third‑Party Services & Integrations

Certain features depend on services provided by third parties (e.g., cloud storage, communication tools). Use of third‑party services may be governed by their own terms and privacy policies. We are not responsible for third‑party services and do not guarantee their availability.

6) Plans, Fees, Trials & Taxes

• Plans: Some features require a paid subscription. Plan details are shown at sign‑up or within the dashboard.
• Billing: Fees are charged in advance on a recurring basis (monthly or annually) until canceled. You authorize us and our payment processor to charge your payment method.
• Changes: We may change prices or plan features with reasonable prior notice. Changes take effect on the next billing cycle unless otherwise stated.
• Trials: If you sign up for a free trial, we will notify you of the trial length and post‑trial charges. To avoid charges, cancel before the trial ends.
• Taxes: Fees exclude taxes unless stated; you are responsible for applicable taxes.

7) Cancellations & Refunds

You may cancel at any time via account settings; access continues until the end of the paid term. Fees are non‑refundable except where required by law or where we expressly state otherwise.

8) Confidentiality

Each party may receive non‑public information from the other that is confidential ("Confidential Information"). The receiving party will use the same degree of care it uses to protect its own confidential information (and no less than reasonable care) and will not disclose it except to personnel, affiliates, or providers who need to know it for these Terms and are bound by confidentiality obligations.

9) Privacy & Data Protection

• We process personal data in accordance with our Privacy Policy and applicable laws, including the GDPR where applicable.
• Where required, a Data Processing Addendum (DPA) is available upon request for customers acting as controllers who engage us as a processor.
• We implement reasonable technical and organizational measures to protect personal data.

10) Security & Fair Use

You must implement appropriate safeguards for your accounts, endpoints, and data. We may apply rate limits, quota, or abuse prevention to maintain service integrity. Excessive use that degrades performance for others may be limited or suspended.

11) Beta, Preview, and Experimental Features

We may offer alpha/beta features. They are provided "AS IS" without warranties and may be modified or discontinued at any time. Usage is at your discretion and risk.

12) Intellectual Property; Feedback

The Service, including software, models, and documentation, is owned by TaskTidy and its licensors. If you submit feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty‑free license to use and incorporate them without restriction.

13) Claims of Infringement

If you believe content on the Service infringes your rights, contact us with sufficient detail to identify the material and your rights. We may remove or disable access and, where appropriate, terminate repeat infringers.

14) Suspension & Termination

We may suspend or terminate access immediately if you violate these Terms, risk harm to the Service or others, or if required by law. You may terminate at any time by canceling your subscription. Upon termination, your right to use the Service ceases; certain sections survive (including 3, 4, 8–13, 15–19).

15) Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, ACCURACY, OR RELIABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS.

16) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER TASKTIDY NOR ITS AFFILIATES OR LICENSORS WILL BE LIABLE FOR (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION; OR (C) AGGREGATE LIABILITY EXCEEDING THE AMOUNTS PAID BY YOU TO TASKTIDY FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

17) Indemnification

You will defend, indemnify, and hold harmless TaskTidy and its affiliates from and against claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, Customer Content, or violation of these Terms or applicable law.

18) Export & Sanctions

You represent that you are not subject to sanctions or located in an embargoed jurisdiction and will not use the Service in violation of export control or sanctions laws.

19) Governing Law; Venue

These Terms are governed by the laws of Belgium, without regard to conflict‑of‑laws rules. The courts of Brussels, Belgium will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue in those courts. If you are a consumer and mandatory local law grants you different rights, those rights remain unaffected.

20) Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., via email or in‑app). Your continued use after changes take effect constitutes acceptance of the updated Terms.

21) Miscellaneous

• Entire Agreement: These Terms and any referenced policies (e.g., Privacy Policy, DPA) form the entire agreement and supersede prior agreements.
• Severability: If a provision is unenforceable, the remainder remains in effect.
• No Waiver: Failure to enforce a provision is not a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
